1. About these Terms

These Terms and Conditions apply to use of the Campden Consulting website and to initial enquiries made through it. A substantive consulting engagement may be subject to a separate written scope, proposal, engagement letter or other agreed terms. If a separate written agreement is entered into, that agreement governs the engagement to the extent of any inconsistency with these website Terms.

2. Nature of the services

Campden Consulting provides business consulting and business advisory services relating to operating costs, business processes, strategy, planning, organisation, sales processes and potential areas for optimisation. The exact scope of any engagement depends on what is agreed in writing and on the information available.

Campden Consulting does not present itself as a bank, broker, investment platform, investment manager or regulated financial adviser. Nothing in the service description constitutes a guarantee of profit, growth, cost reduction, investment performance or any other financial outcome.

3. Enquiries and formation of an engagement

Submitting a form or contacting Campden Consulting is a request for discussion and does not by itself create a consulting engagement. An engagement is formed only when scope and commercial terms have been agreed by the relevant parties in a form intended to create contractual obligations.

Campden Consulting may decide that a requested matter falls outside its service scope or that further information is required before a proposal can be made. No statement on the website should be read as an obligation to accept every enquiry.

4. Client responsibilities

Clients are responsible for providing information that is reasonably accurate, complete and timely for the agreed work. Management remains responsible for business decisions, implementation choices and the use of recommendations. Where third-party professional advice is required, such as legal, tax, accounting or regulated financial advice, the client is responsible for obtaining that advice from an appropriately qualified provider.

Clients should not send passwords, banking credentials or unnecessary sensitive access information through general website forms. Confidential information required for an agreed engagement should be handled in the manner established for that engagement.

5. Fees, scope and payment

Fees depend on the scope, depth and duration of the services and are not fixed by this website. Where Campden Consulting proposes substantive work, the applicable fees, payment arrangements and scope should be set out before that work begins. Any taxes or charges that apply are dealt with in accordance with the agreed terms and applicable law.

If the scope changes materially, the parties should agree how the change affects deliverables, timing or fees before additional work is undertaken where reasonably practicable.

6. Standard of service and reliance

Services are intended to be carried out with reasonable care and skill. Advisory conclusions are based on the information, assumptions and circumstances available at the time. Business conditions can change, and a recommendation may need to be reconsidered if relevant facts change.

Unless expressly agreed otherwise, Campden Consulting does not undertake to monitor a client’s business continuously after an engagement or to update past recommendations automatically.

7. Intellectual property and working materials

Rights in pre-existing methods, templates, know-how and materials remain with their existing owner. The permitted use of deliverables created for a client should be determined by the relevant engagement terms. Website content may not be copied, republished or presented as the work of another person or organisation except where law permits or permission has been given.

8. Confidentiality

Confidentiality obligations applying to a substantive engagement should be set out in the relevant agreement or otherwise arise under applicable law. Information provided during an initial enquiry should be limited to what is reasonably necessary to assess the request.

9. Cancellation and termination

Cancellation or termination rights for a substantive engagement depend on the written terms agreed for that engagement and on any mandatory rights that apply by law. Where an individual qualifies as a consumer and a contract is concluded at a distance, statutory cancellation rights may apply, subject to the legal rules and any valid request to begin services during a cancellation period.

Nothing in these Terms is intended to remove a right that cannot lawfully be excluded. Any charge relating to cancellation or work already performed must be considered in light of the applicable agreement and mandatory law.

10. Liability

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law. Subject to that principle, responsibility for a particular engagement is determined by the agreed scope, the information provided, the nature of the service and any limitations set out in the engagement terms.

Campden Consulting is not responsible for business decisions made independently of the agreed service, for information withheld or materially inaccurate, or for the acts of third-party providers outside Campden Consulting’s control, except to the extent the law provides otherwise.

11. Website availability and external links

Reasonable efforts may be made to keep the website available and current, but uninterrupted availability is not guaranteed. External links, if present, are provided for navigation or reference and do not by themselves imply endorsement, control or responsibility for third-party content.

12. Changes

Website content and these Terms may be updated where services, legal requirements or business practices change. Changes do not retrospectively alter an already concluded engagement unless the parties agree or the law provides otherwise.

13. Governing law and disputes

These Terms are governed by the laws of England and Wales, except where mandatory law requires a different result. The appropriate courts and dispute procedures depend on the circumstances, including whether the user acts as a business or a consumer and where mandatory jurisdiction rules apply.
